The agreement between Menbru, the Members who use it and the businesses that publish on it — written to be read, not to be skipped.
Reference document
These terms cover both sides of the same account: browsing and claiming as a Member, and listing and publishing as a Partner.
This page is a draft under legal review. It is not the final agreement, and its wording may change before Menbru relies on it.
These Terms of Service ("Terms") govern your use of the Menbru website, its directory of local businesses, its offers and coupons board, its events calendar and any related feature (together, the "Service"). By creating an account, claiming a coupon, publishing a listing or simply browsing, you accept these Terms.
Menbru is a discovery platform for a single valley. It connects people looking for something to do, eat or buy with the independent businesses that provide it. Menbru is not a party to whatever you and a business agree between yourselves — we publish the listing, they honour the deal.
If you do not accept these Terms, do not use the Service. If you use it on behalf of a business, you confirm that you are authorised to bind that business to these Terms.
You may use the Service if you are at least 16 years old and are not barred from doing so under applicable law. Where a business account is concerned, the person creating it must be legally able to represent that business.
Some listings describe activities with their own age, licence or safety requirements — alcohol, guided backcountry travel, motorised recreation. Those requirements belong to the business providing the activity, and appearing on Menbru does not waive any of them.
One account gives you both roles: Member and, if you choose, Partner. There is no second sign-up and no separate Partner login.
You are responsible for what happens under your account. Keep your password to yourself, use a distinct one, and add a second sign-in method if you can. Tell us immediately if you believe someone else has access. Menbru will never ask for your password — not by email, not by phone, and not through any form on this site.
The details you give us — your name, your email address, and for a Partner, the business details on the listing — must be accurate and kept current. A confirmed email address is required before an account becomes active, because it is the only channel we use to reach you about the account itself.
Accounts are personal. Do not share one, sell one, or create several to claim the same offer more than once. Where a business needs several people to administer a listing, add them as collaborators of that listing rather than sharing a single login.
A Member account is free and stays free. It gives you a wallet for claimed coupons, a list of saved places, and an early view of events that Partners have scheduled but not yet published publicly.
Everything in the directory is provided by the businesses themselves. Hours, prices, availability and descriptions change, and while we ask Partners to keep them current and act on reports, we cannot guarantee that any listing is accurate at the moment you read it. Where a decision matters — a long drive, a closing time, a dietary requirement — confirm it with the business.
Reviews, reports and any other contribution you make must be your own honest experience. Do not post on behalf of a competitor, do not accept payment for a review, and do not report a listing you have no first-hand knowledge of.
A Partner is a Member who has taken responsibility for one or more listings. Being a Partner does not change your Member rights; it adds obligations.
Hosting the listing, distributing it through the directory, search and the feed, providing the tools to publish offers and events, and recording claims and redemptions accurately. Menbru does not set your prices, does not take a cut of the transaction, and is not the merchant of record for anything sold.
A listing may exist before its owner joins. To take control of one, use Claim this business; we verify that you can be reached through the contact details already published on it. A successful claim transfers editing rights to you and removes them from any previous editor.
An offer is a deal published by a Partner. A coupon is an offer a Member has claimed; it carries a code and an expiry, and lives in that Member's wallet until it is redeemed or expires.
If a business refuses to honour a validly claimed coupon, tell us through the contact page. We will seek an explanation from the Partner and may remove the offer or the listing, but the commercial obligation is the Partner's, not ours.
You keep ownership of everything you upload — photographs, descriptions, reviews, logos. By uploading it, you grant Menbru a non-exclusive, worldwide, royalty-free licence to host, store, resize, cache and display that content for the purpose of operating and promoting the Service, including in previews, search results and social cards.
That licence ends when you delete the content, except for copies retained in backups for the period described in the Privacy Policy and for content another party has legitimately reproduced elsewhere.
The Menbru name, wordmark, interface and the design system behind it belong to Menbru. Nothing in these Terms gives you a licence to use them beyond linking to the Service in the ordinary way.
Do not use the Service to:
We investigate reports and act on what we find. Depending on severity, that means editing a listing, removing an offer, suspending an account, or ending it.
We aim to keep the Service available, but we do not promise uninterrupted access. Maintenance, upstream failures and circumstances outside our control all cause downtime, and we announce planned work in advance where we reasonably can.
Features change. We may add, alter or withdraw parts of the Service, and where a change materially reduces something you rely on — a Partner's ability to publish a kind of offer, for instance — we will give reasonable notice through the email address on your account.
The Service is provided "as is" and "as available". To the fullest extent permitted by law, Menbru disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
Menbru is not responsible for the goods, services, events or experiences that businesses provide. Your agreement for those is with the business. That includes quality, safety, timing, cancellation, refunds and any injury or loss arising from the activity itself.
To the extent permitted by law, Menbru is not liable for indirect, incidental, special or consequential loss, nor for lost profits, lost revenue or lost data.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
You may close your account at any time from your dashboard, or by writing to us. If you administer a listing, transfer it to another Partner first or ask us to close it in the same message — deleting an account does not delete a listing that other people rely on.
We may suspend or terminate an account that breaches these Terms, that is used to harm other Members or Partners, or that we are legally required to act on. Where the breach is capable of being fixed, we tell you what is wrong and give you a reasonable chance to fix it before terminating.
Sections 7, 10, 12 and any accrued obligation survive termination.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. The courts of Teton County, Wyoming have exclusive jurisdiction, except where mandatory consumer-protection law in your country of residence gives you the right to bring proceedings locally.
Before starting proceedings, please write to us. Most disputes that reach us turn out to be a misunderstanding about an offer's terms, and those are resolved quickly.
We update these Terms when the Service changes or the law does. The version number and dates at the top of the current agreement always tell you which text is current.
For material changes we give at least thirty days' notice by email to the address on your account, and the change takes effect on the stated date. Continuing to use the Service after that date means you accept the new version; if you do not, close your account before it takes effect.
Questions about these Terms go through the contact page. Data requests belong in the Privacy Policy.

The short version
Long documents earn their length by being precise, not by being read end to end. These four are the ones that actually change how you use Menbru — the rest is the detail behind them.
A summary of the draft above. The text above is what applies.
Menbru publishes the offer. The business honours it, sets its terms, and answers for the experience.
Member and Partner live on the same login. Being a Partner does not change your Member rights; it adds obligations.
You keep ownership and license it to Menbru so it can be shown. The licence ends when you delete the content, with the exceptions in section 7.
Material changes are emailed to the address on your account at least thirty days before they take effect.
